By creating an account, accessing, or using Outreachist ("Platform," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

These Terms constitute a legally binding agreement between you and Outreachist. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

2. Definitions

• "Platform" or "Service": The Outreachist marketplace website and all related services.
• "User": Any individual or entity that creates an account or uses our Service.
• "Buyer" or "Advertiser": A User who purchases services through the Platform.
• "Seller": A User who offers services for sale (includes Publishers, Influencers, and Freelancers).
• "Publisher": A Seller who owns websites and offers advertising placements.
• "Influencer": A Seller who offers social media marketing services.
• "Freelancer": A Seller who offers professional services (content writing, design, SEO, etc.).
• "Listing": A service offering posted by a Seller on the Platform.
• "Order": A transaction initiated by a Buyer to purchase a Seller's service.
• "Escrow": Funds held by Outreachist temporarily until order completion.

3. Eligibility

3.1 Age Requirement

You must be at least 18 years old to use Outreachist. By creating an account, you represent that you are of legal age to form a binding contract.

3.2 Accuracy of Information

You must provide accurate, current, and complete information during registration and maintain the accuracy of your account information.

3.3 Prohibited Jurisdictions

Our Service is not available in jurisdictions where prohibited by law. You may not use our Service if you are located in, or a citizen of, a country subject to comprehensive sanctions.

4. User Accounts

4.1 Account Registration

To use most features of our Platform, you must create an account. You agree to:

• Provide truthful and accurate information
• Maintain only one account per person or business
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account
• Not transfer or sell your account to others

4.2 Account Types

• Buyer Account: For purchasing advertising, marketing, or freelance services.
• Seller Account: For offering services (requires verification).
• Hybrid Account: Can act as both Buyer and Seller.

4.3 Verification

We may require identity verification, business documentation, domain ownership proof, or social media account verification before allowing certain activities. Failure to provide requested verification may result in account limitations.

4.4 Account Security

You are responsible for maintaining the security of your account. We recommend using a strong password and enabling two-factor authentication where available.

5. Marketplace Services

5.1 Platform Role

Outreachist operates as a marketplace connecting Buyers and Sellers. We:

• Provide the platform infrastructure and tools
• Facilitate transactions through escrow services
• Handle payments and fee collection
• Provide dispute resolution services
• Are NOT a party to agreements between Buyers and Sellers

5.2 Seller Responsibilities

As a Seller, you agree to:

• Accurately describe your services and provide truthful metrics
• Fulfill orders according to the agreed requirements and timeline
• Maintain quality standards for delivered services
• Communicate promptly with Buyers
• Comply with all applicable laws and platform policies
• Respond to disputes and provide evidence when required

5.3 Buyer Responsibilities

As a Buyer, you agree to:

• Provide clear and complete order requirements
• Maintain sufficient wallet balance for orders
• Review deliveries within the specified timeframe
• Communicate professionally with Sellers
• Not request services that violate laws or platform policies

5.4 Service Quality

While we verify Sellers and their listings, we do not guarantee the quality or results of services provided. Sellers are solely responsible for the services they deliver. We encourage Buyers to review Seller ratings, reviews, and portfolios before making purchase decisions.

6. Orders and Transactions

6.1 Placing Orders

When placing an order:

• Funds are immediately deducted from your wallet and held in escrow
• You enter into a direct agreement with the Seller
• You must provide clear requirements and necessary information
• Orders are binding once confirmed
• Cancellation policies vary by Seller

6.2 Order Fulfillment

Sellers must:

• Deliver services within the agreed timeframe
• Meet the specified requirements
• Provide proof of delivery (screenshots, links, reports, etc.)
• Communicate delays or issues promptly
• Offer revisions if work doesn't meet requirements
• Not mark orders complete until actually delivered

6.3 Order Acceptance

Buyers should review deliveries carefully:

• Orders are auto-approved after 72 hours if no action is taken
• Approved orders release funds to the Seller
• Once approved, refunds are generally not available

6.4 Order Modifications

Any changes to order scope, price, or timeline must be mutually agreed upon by both parties. Contact support if you need assistance with order modifications.

7. Payments and Fees

7.1 Payment Methods

We accept payments through:

• Credit/Debit cards (via Stripe)
• PayPal
• Cryptocurrency (via NOWPayments)

7.2 Wallet System

All transactions go through your Outreachist wallet:

• Buyers must deposit funds before placing orders
• Sellers receive payments to their wallet after order completion
• Withdrawals can be made to bank accounts or payment processors

7.3 Platform Fees

7.4 Taxes

• You are responsible for all applicable taxes
• We may collect and remit taxes as required by law
• Prices shown may not include VAT or sales tax
• Sellers should ensure compliance with tax obligations in their jurisdiction

7.5 Currency

All prices on our platform are displayed in USD. Exchange rates for cryptocurrency and other currencies may fluctuate.

7.6 Fee Changes

We reserve the right to change our fee structure at any time. We will provide at least 30 days' notice before implementing fee increases.

8. Escrow and Fund Release

8.1 How Escrow Works

Our escrow system protects both Buyers and Sellers:

1. When a Buyer places an order, the payment amount is deducted from their wallet and held in escrow
2. The Seller fulfills the order according to the agreed requirements
3. The Seller submits proof of delivery
4. The Buyer reviews and approves the delivery (or it's auto-approved after 72 hours)
5. Upon approval, funds are released to the Seller's wallet minus applicable fees

8.2 Conditions for Fund Release

Funds are released to the Seller when:

• The Buyer manually approves the delivery, or
• 72 hours pass after delivery without Buyer action (auto-approval), or
• A dispute is resolved in the Seller's favor

8.3 Escrow Holds

Funds may be held longer if:

• A dispute is opened and under review
• Suspicious activity is detected
• We require additional verification
• Legal requirements mandate a hold

9. Refunds and Disputes

9.1 Eligibility for Refunds

Refunds may be issued in the following situations:

• Non-delivery: Seller fails to deliver within the agreed timeframe
• Order Cancellation: Seller cancels before delivery
• Quality Issues: Delivered work significantly differs from agreed requirements
• Link Removal: Link is removed before the guaranteed period ends
• Dispute Resolution: Our team rules in the Buyer's favor

9.2 Non-Refundable Situations

Refunds are generally not available for:

• Orders that have been approved (manually or automatically)
• Buyer's change of mind after order completion
• Issues arising from inaccurate requirements provided by the Buyer
• Dissatisfaction with SEO results (we don't guarantee rankings)
• Link removal after the guaranteed period

9.3 Opening a Dispute

If you cannot resolve an issue directly with the other party:

1. Go to the order page and click "Open Dispute"
2. Select the reason for the dispute
3. Provide a detailed explanation and evidence
4. Our team will review and make a decision within 24-48 hours

9.4 Dispute Resolution

Our dispute resolution process is designed to be fair:

• Both parties have the opportunity to present their case
• We review all evidence, messages, and order details
• Our decision is final and binding
• We may grant full refund, partial refund, or rule in Seller's favor

9.5 Chargebacks

Filing a chargeback with your bank or payment provider before attempting to resolve the issue through our platform may result in immediate account suspension. If you win a chargeback for a transaction where services were delivered as agreed, we reserve the right to pursue legal action.

10. User Conduct

10.1 Prohibited Activities

You agree not to:

• Provide false, misleading, or inaccurate information
• Create multiple accounts or use another user's account
• Circumvent fees by conducting transactions outside the platform
• Use the platform for money laundering or fraud
• Submit fake reviews or ratings
• Spam other users or engage in harassment
• Post content that violates third-party intellectual property rights
• Attempt to access systems or data you're not authorized to access
• Interfere with the proper functioning of the platform
• Use automated tools or bots without authorization
• Engage in any activity that violates applicable laws

10.2 Prohibited Content

The following content is not allowed on our platform:

• Adult or sexually explicit content
• Gambling or casino-related content (unless explicitly permitted)
• Content promoting illegal activities
• Malware, phishing, or deceptive content
• Hate speech, discrimination, or harassment
• Violence or threats
• Content that infringes intellectual property rights
• Spam or misleading content

10.3 Consequences of Violations

Violations may result in:

• Warning notifications
• Temporary account suspension
• Permanent account termination
• Forfeiture of funds (in cases of fraud)
• Legal action where appropriate

11. Content and Intellectual Property

11.1 Your Content

You retain ownership of content you submit to Outreachist. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with operating our Service.

11.2 Content Responsibility

You are solely responsible for:

• The accuracy and legality of content you submit
• Ensuring you have rights to submit any content
• Content not infringing third-party intellectual property
• Content complying with all applicable laws

11.3 Outreachist Property

The Outreachist name, logo, website design, and all related intellectual property are owned by Outreachist. You may not use our trademarks without prior written permission.

11.4 DMCA and Copyright Claims

If you believe content on our platform infringes your copyright, please contact us at legal@outreachist.com with:

• Description of the copyrighted work
• Location of the allegedly infringing content
• Your contact information
• A statement that you have a good faith belief the use is unauthorized
• Your physical or electronic signature

12. Limitation of Liability

12.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding the accuracy of website metrics
• Warranties regarding SEO results or rankings

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTREACHIST SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from your use or inability to use the Service
• Any conduct or content of third parties on the Service
• Any unauthorized access to your account or data

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO OUTREACHIST IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12.3 Third-Party Services

We are not responsible for third-party services integrated with our platform, including payment processors, analytics providers, or external websites. Your use of such services is subject to their respective terms and policies.

13. Indemnification

You agree to indemnify, defend, and hold harmless Outreachist and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit to the platform
• Your interactions with other users

14. Termination

14.1 Termination by You

You may close your account at any time by:

• Completing or canceling all pending orders
• Withdrawing your available balance
• Contacting support to request account deletion

14.2 Termination by Us

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Repeated policy violations
• Inactivity for extended periods
• Any reason at our sole discretion with reasonable notice

14.3 Effect of Termination

Upon termination:

• Your right to access the Service immediately ceases
• Pending orders may be cancelled
• You may forfeit funds in cases of Terms violations or fraud
• Provisions that should survive termination will remain in effect

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved as follows:

1. Informal Resolution: Contact us first to attempt to resolve the dispute informally
2. Mediation: If informal resolution fails, parties agree to attempt mediation
3. Arbitration/Litigation: Disputes not resolved through mediation may be submitted to binding arbitration or court proceedings in England and Wales

To the extent permitted by law, you agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, war, terrorism, or internet outages.
